These Terms and Conditions ("Agreement") govern the provision of services by Times IT ("we," "us," or "our") to you ("Client" or "you"). By engaging our services, you agree to be bound by this Agreement. Please read it carefully.

1. Engagement

1.1 Acceptance of Terms

By signing and returning a work brief and/or a written quote prepared by us, or by providing written verification for smaller engagements, you agree to engage Times IT for the requested services, subject to the terms of this Agreement. Unless otherwise notified, Times IT will consider such engagement accepted.

1.2 Changes to Engagement

Any changes to the scope or nature of the engagement must be agreed upon in writing. Modifications to this Agreement may be made only by a written amendment signed by both parties.


2. Pricing Structures

2.1 Basis for Pricing

Any pricing structure provided by Times IT for the services is based on the agreed specifications and is subject to change only if both parties agree to amend those specifications. Pricing does not include GST unless otherwise stated.

2.2 Validity of Pricing

The pricing structure remains valid for the duration of our engagement with you, unless the work agreement is altered by mutual consent.


3. Services

3.1 Scope of Services

Times IT provides a range of services which may include, but are not limited to:

  • Search Engine Optimization (SEO)
  • Search Engine Advertising
  • Display Advertising
  • Social Media Advertising
  • Social Media Management (SMM)
  • Content Services and Content Marketing
  • Strategy, Creative, and Analytics


3.2 Service Limitations

You acknowledge that electronic services may be subject to interruptions or breakdowns and that non-electronic services may be disrupted. Times IT will continue to provide services and invoice you for work performed, except when disruptions result from our negligence or willful misconduct.\


4. Client Content and Materials

4.1 Provision of Materials

You are responsible for supplying all required materials and content ("Client Content") promptly. These materials must not infringe on any third-party rights, including intellectual property or moral rights, nor compromise our systems' security.


4.2 Review and Accuracy

When Times IT is engaged to produce outsourced work (e.g., graphic design or copywriting), you will have the opportunity to review the material before its use. You assume full responsibility for the accuracy and suitability of such material.


5. Variations and Additional Costs


5.1 Handling Variations

Any changes to the service specifications during the course of our engagement will be treated as a Variation. Times IT reserves the right to pause work and review the cost implications of any Variation.

5.2 Examples of Variations and Additional Costs

Variations may include, but are not limited to:

  • Additional requirements not discussed during onboarding (e.g., extra branding deliverables, video imagery, ad text/design, or changes in campaign focus)
  • Costs for commercial fonts, photography, audio, or video
  • Additional service management time or overtime due to client delays
  • Additional workshops or design alterations beyond the agreed scope

For any small changes, Times IT will provide an estimate of additional costs before proceeding.


6. Stock Images, Fonts, and Multimedia

6.1 Provision or Purchase

You may supply stock images, commercial fonts, audio, or video, or allow Times IT to purchase them on your behalf. Ownership of any finished multimedia (photography, audio, video) will transfer to you upon full payment of all issued invoices.


7. Client Approval & Implementation

7.1 Approval Requirements

Certain items may require your explicit approval before implementation. These may include:

  • Service briefs
  • Keyword recommendations and SEO reports (local and on-page)
  • Ad text, targeting, creative concepts, and design iterations
  • Implementation of conversion tracking code, landing pages, or website development

Your timely approval is essential to ensure smooth project progress.

8. Specific Service Terms

8.1 Search Engine Optimization (SEO)

Our SEO services may include:

  • Keyword research and recommendations
  • Local and on-page SEO reports
  • Copywriting and content generation
  • Setup and management of Google Analytics and Google Search Console
  • Link building and local citations
  • Monthly progress reports

Services excluded:

  • Advanced conversion tracking code implementation where website development is required
  • Broken link cleanup and ongoing maintenance
  • Website maintenance, security updates, or new website migration

8.2 Search Engine Advertising

Our Search Engine Advertising services may include:

  • Keyword research and recommendations
  • Setup of Google AdWords and Google Analytics accounts
  • Implementation of conversion tracking code
  • Creation and management of text ads and ad extensions
  • Ongoing campaign optimization and monthly progress reports

Services excluded:

  • Advanced conversion tracking code where website development is needed
  • Creation of a Privacy Policy or landing page/website development

8.3 Display Advertising

Our Display Advertising services may include:

  • Creation of display banners
  • Setup of conversion tracking and remarketing tags
  • Audience and placement targeting
  • Ongoing campaign optimization and monthly progress reports

Services excluded:

  • Advanced conversion tracking code implementation for website development
  • Creation of a Privacy Policy or landing page/website development

8.4 Social Media Advertising

Our Social Media Advertising services may include:

  • Creation of Facebook ads (including image design and ad copy)
  • Set up of a Facebook ad account within our business manager
  • Implementation of conversion tracking code and Facebook pixel
  • Audience targeting and campaign optimization
  • Monthly progress reports

Services excluded:

  • Advanced conversion tracking code implementation for website development
  • Setup and management of your Facebook community/page or integration with third-party platforms

8.5 Social Media Management (SMM)

Our Social Media Management services may include:

  • Social media review, analysis, and strategy development
  • Campaign management, content creation, client engagement, and profile management on various platforms
  • Social media analytics and policy formulation

Access to your social media accounts must be provided or permission granted for account setup.

8.6 Strategy, Creative, and Analytics

Our Strategy, Creative, and Analytics services may include:

  • Digital marketing audits and strategy development/implementation
  • Production of multimedia content (videos, images, infographics, reports)
  • Setup of Google Analytics, reputation management, and call tracking

Once services are launched, archiving of files and databases is the responsibility of the Client.


9. Warranty Disclaimer

Nothing in this Agreement excludes or limits any rights or remedies provided by law. Subject to any non-excludable provisions under applicable law, Times IT disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.


10. Limitation of Liability

To the fullest extent permitted by law, Times IT shall not be liable for:

  • Faults or defects in third-party services or goods associated with this Agreement,
  • Any indirect, special, or consequential damages (including data loss, profit loss, or business interruption).

In no event shall Times IT’s total liability exceed the amount paid by the Client for the services provided under this Agreement. Liability for any breach of a non-excludable condition is limited to the cost of having the services provided again.


11. Indemnity

You agree to indemnify, defend, and hold harmless Times IT, its directors, officers, employees, and agents against any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of:


  • Any breach of this Agreement by you,
  • Your negligent acts or omissions,
  • Your use of the services, including any third-party claims relating to your use of the services,
  • Infringement of third-party intellectual property rights.


12. Confidentiality

Both parties agree to keep confidential any proprietary or confidential information disclosed during this Agreement. This obligation extends to any details of purchase orders or pricing structures and remains in effect both during and after the termination of this Agreement. Neither party shall make any negative comments about the other party in public or online.


13. Payment

Payments for work undertaken by Times IT must be made via PayPal, credit card (Visa, Mastercard, Amex), or automatic direct debit from your nominated bank account. Invoices are generated automatically, and full payment must be received before the commencement of any work.


14. Duration and Termination

This Agreement takes effect immediately upon execution by both parties and remains in effect until terminated by either party. Either party may pause or terminate this Agreement by providing written notice by the dispute resolution provisions.


15. Dispute Resolution

If a dispute arises from or relates to this Agreement, the party claiming a dispute shall provide written notice to the other party. The notice must designate a representative with the authority to settle the dispute. Both parties agree to engage in good faith negotiations to resolve any such disputes before pursuing legal remedies.


By engaging Times IT and using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
